Terms of Service

1. Agreement

These Terms of Service ("Terms") form an agreement between you and BLACK FROST DISTILLING, LLC, a Minnesota limited liability company located at 201 1st Street North, New Ulm, Minnesota, United States ("Frostline", "we", "us"), governing your use of debtidepot.com and any related services we operate (the "Service"). By creating an account, generating content, or paying for a plan, you accept these Terms. If you do not accept them, do not use the Service.

2. The Service

Frostline is a software-as-a-service that uses artificial intelligence to generate brewing recipes and short brew-reel videos for specialty coffee. The Service produces digital content; it does not sell coffee beans, equipment, or any food product.

3. Account, age, and conduct

To use the Service you must be at least thirteen (13) years old. Users between thirteen and seventeen need verifiable parental or guardian consent. You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Do not share or transfer your account.

You agree not to use the Service to do anything our Acceptable Use Policy at debtidepot.com/acceptable-use prohibits.

4. Plans, credits, and automatic renewal

Frostline offers three subscription tiers (Drip, Barista, Roastery) and three one-time credit packs (Small, Medium, Large). Current pricing is at debtidepot.com/pricing.

• Subscriptions: monthly or yearly. They renew automatically at the end of each period for the same term and at the then-current rate, charged to your default payment method, until you cancel.
• Credits: a non-monetary, non-refundable, non-transferable, in-Service usage allowance. Credits cannot be exchanged for cash, withdrawn, sold, or used outside the Service.
• Subscription credits included in a plan expire at the end of the period.
• Purchased credit packs expire one (1) year after purchase.
• Promotional credits expire as stated when granted and never exceed twelve months.
• Service consumption is set out at debtidepot.com/pricing and may change with prior notice.

You are responsible for all charges incurred under your account. We may change pricing on at least thirty (30) days' notice; new pricing applies at your next renewal.

5. Cancellation

You may cancel a subscription at any time through debtidepot.com/app/billing or the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period; we do not pro-rate the unused portion of a period. Credits remaining at cancellation expire as set out in §4.

6. Refunds

Refunds are governed by our Refund Policy at debtidepot.com/refund-policy. In short: subscriptions are refundable within seven (7) days of first purchase if you have not generated a brew reel; credit packs are refundable within fourteen (14) days for unused credits; consumed credits are not refundable; AI-output disputes are first remedied with credits or re-generation.

7. Intellectual property and content license

You retain all rights you have in the bean-bag photos, prompts, and inputs you submit ("Inputs"). You grant Frostline a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and adapt your Inputs solely to operate the Service for you, to provide support, and to improve reliability through aggregated, de-identified signals.

You own the recipes, recipe-card images, and brew reels we generate for you ("Outputs"), subject to (a) the Acceptable Use Policy and (b) our Content License at debtidepot.com/content-license, which describes how Outputs may be used, attributed, and re-shared. Frostline retains all rights in the Service, the platform, and any underlying templates, fonts, soundtracks, SVG flavor wheels, and brand marks.

8. AI disclaimer

Frostline outputs are generated by machine-learning models. They are starting points, not professional advice. See our AI Disclaimer at debtidepot.com/ai-disclaimer. Bean freshness, grinder calibration, water chemistry, altitude, and roast date will all change the cup. Use the recipe, then dial in.

9. Caffeine and health

The Service generates content about coffee, which contains caffeine. Frostline is not medical, nutritional, or barista certification. If you are pregnant, breastfeeding, under eighteen, have a heart condition, hypertension, anxiety, insomnia, or any chronic condition, consult your physician. Frostline does not replace your doctor.

10. Third-party providers

The Service depends on third parties including the AI providers that run our generation models, Stripe for payments, our identity provider, and our cloud hosting. Their terms and privacy policies apply to their portions of the Service. Frostline is not responsible for third-party services or content you reach through links from the Service.

11. Suspension and termination

We may suspend or terminate your access if you breach these Terms, the Acceptable Use Policy, or apply for refunds in bad faith; if Stripe or another provider requires us to; or if we receive a credible claim that your use infringes a third party's rights. We will give notice and an opportunity to cure where reasonable. You may close your account at any time at debtidepot.com/app/billing.

12. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Frostline disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

13. Limitation of liability

To the maximum extent permitted by law, Frostline's total aggregate liability under these Terms for any cause whatsoever will not exceed the greater of (a) the amount you paid Frostline in the twelve months before the event giving rise to the claim or (b) one hundred US dollars (US$100). Frostline will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or loss of goodwill, even if advised of the possibility.

14. Indemnity

You will defend, indemnify, and hold harmless Frostline against any claim, loss, or expense arising from your Inputs, your use of the Outputs, or your breach of these Terms or the Acceptable Use Policy.

15. Governing law and venue

These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflicts-of-law rules. Any dispute that is not resolved by binding arbitration under §16 will be brought exclusively in the state and federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of those courts.

16. Arbitration and class waiver

Except for small-claims actions and equitable relief for intellectual-property infringement, any dispute will be resolved by individual binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules in Minneapolis, Minnesota. You and Frostline waive the right to a jury trial and the right to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by emailing support@debtidepot.com within thirty (30) days of first accepting these Terms.

17. Changes

We may update these Terms; we will post updates at debtidepot.com/terms-of-service and, for material changes, give at least thirty (30) days' notice by email. Your continued use after the effective date constitutes acceptance.
